Acceptance of Terms

By accessing, browsing, registering for, or using TickerSkill.com (the "Site"), its mobile applications, tools, features, or any related services (collectively, the "Platform"), you ("User", "you", or "your") unconditionally agree to be legally bound by these Terms & Conditions ("Terms"), our Privacy Policy, and any additional guidelines, policies, or rules posted on the Platform.

IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM. Your continued use of the Platform following any modification to these Terms constitutes your binding acceptance of such changes.

These Terms constitute a legally binding agreement between you and Edney Enterprises LLC, a limited liability company ("Company", "we", "us", or "our"), the owner and operator of TickerSkill.com.

You represent and warrant that you are at least 18 years of age, have the legal capacity to enter into binding contracts, and are not prohibited from using the Platform under any applicable law.

TICKERSKILL.COM DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, LEGAL, OR ANY OTHER PROFESSIONAL ADVICE. All content, data, tools, screeners, analyses, simulations, commentary, and materials available on the Platform are provided solely for general informational and educational purposes.

Nothing on the Platform shall be construed as a recommendation, solicitation, offer, or advice to buy, sell, hold, or trade any security, commodity, cryptocurrency, or financial instrument of any kind. You acknowledge that:

  • Past performance of any simulated trade or screened security is not indicative of future results.
  • All market data, pricing, and financial information displayed may be delayed, inaccurate, or incomplete.
  • The Company is not a registered broker-dealer, investment adviser, or financial planner under any applicable law.

Mock Trading & Simulated Environment

TickerSkill.com is a 100% simulated paper trading environment. No actual securities are bought or sold. No real money is invested. All portfolio values, trade executions, gains, losses, and balances are entirely fictitious and for educational demonstration purposes only.

You expressly acknowledge and agree that:

  • All virtual currency, portfolio balances, and simulated trades on this Platform have no real monetary value whatsoever.
  • Simulated trading results do not reflect actual market conditions and may differ materially from real trading outcomes due to market liquidity, slippage, commissions, taxes, and other factors.
  • The Company makes no guarantee or representation that strategies successful in the simulated environment will achieve similar results in real markets.
  • The Platform may experience data delays, outages, errors, or inaccuracies that affect the simulated trading experience, and the Company accepts no liability for such occurrences.
  • You will not hold the Company liable for any decision to engage in real trading based on experience or results obtained through the Platform's mock trading features.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDNEY ENTERPRISES LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, PARTNERS, AND SUCCESSORS (COLLECTIVELY, "RELEASED PARTIES") SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY direct, indirect, incidental, special, consequential, punitive, exemplary, or any other damages of any kind, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other financial or non-financial loss, arising out of or in connection with your use of, or inability to use, the Platform.

Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.

No Guarantee of Availability

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Platform at any time without notice or liability.

Cap on Liability

In jurisdictions that do not allow the complete exclusion of liability, the total aggregate liability of the Released Parties to you for all claims arising from your use of the Platform shall not exceed fifty U.S. dollars ($50.00), regardless of the cause of action or theory of liability asserted.

You acknowledge that this limitation of liability is a fundamental element of the basis of the bargain between you and the Company, and the Company would not provide the Platform without such limitation.

No Refund Policy

⛔ No Refunds Policy

ALL FEES, CHARGES, AND PAYMENTS MADE TO EDNEY ENTERPRISES LLC IN CONNECTION WITH TICKERSKILL.COM ARE STRICTLY NON-REFUNDABLE. This includes, without limitation, subscription fees, premium membership fees, one-time upgrade fees, add-on feature charges, and any other payments made to access any portion of the Platform.

By completing any purchase or payment on or through the Platform, you expressly agree and acknowledge that:

  • No refunds will be issued under any circumstances, including but not limited to dissatisfaction with the Platform, technical issues, account suspension or termination, discontinuation of features, or change of mind.
  • All sales are final and non-reversible at the time of purchase.
  • Subscription fees are charged in advance for the applicable period and are non-refundable upon cancellation. Cancellation stops future billing but does not entitle you to a refund of any previously charged amounts.
  • Chargebacks, payment disputes, or reversals initiated with your financial institution in violation of this policy may result in immediate and permanent account termination and may be pursued by the Company as a breach of these Terms.
  • You waive any right to a refund to the fullest extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Edney Enterprises LLC and its Released Parties from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of or access to the Platform;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable law, rule, or regulation;
  • Your violation of any third-party rights, including intellectual property rights or privacy rights;
  • Any content you submit, post, or transmit through the Platform;
  • Any real-world financial decisions or actions you take based on your use of the Platform;
  • Any dispute between you and any other user of the Platform.

The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with the Company in asserting any available defenses.

Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform ("Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All Disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Jury Trial Waiver

YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL with respect to any Dispute to the fullest extent permitted by applicable law.

Informal Resolution First

Before initiating arbitration, you agree to first contact us at legal@tickerskill.com and provide a written description of the Dispute. The parties agree to negotiate in good faith for a period of thirty (30) days before either party may initiate formal arbitration proceedings.

Limitation on Claims

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR after the cause of action accrues; otherwise, such claim is permanently barred.

The Platform and all of its contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, data compilations, software code, algorithms, screener tools, user interface design, visual design, and the selection and arrangement thereof — are the exclusive property of Edney Enterprises LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Restricted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial educational use. You expressly agree that you will NOT:

  • Copy, reproduce, distribute, republish, or transmit any portion of the Platform;
  • Modify, create derivative works from, disassemble, reverse engineer, or decompile any part of the Platform;
  • Sell, sublicense, rent, lease, or commercially exploit the Platform or its content;
  • Remove any copyright, trademark, or proprietary notices from any portion of the Platform;
  • Use any data mining, scraping, robots, or similar data gathering tools on the Platform;
  • Frame or mirror any portion of the Platform without the Company's express written consent.

Any unauthorized use of the Platform or its content may violate copyright law, trademark law, and applicable regulations, and could result in criminal or civil penalties.

User Conduct & Prohibited Activities

By using the Platform, you agree to comply with all applicable laws and regulations and to not engage in any conduct that:

  • Is fraudulent, deceptive, misleading, or harmful to other users or the Company;
  • Attempts to gain unauthorized access to any portion or feature of the Platform or its related systems;
  • Introduces viruses, malware, or other harmful code to the Platform;
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity;
  • Collects or harvests personal information of other users without their consent;
  • Violates these Terms or any other policies posted on the Platform;
  • Interferes with or disrupts the integrity or performance of the Platform.

The Company reserves the right to investigate and take appropriate legal action against anyone who, in the Company's sole discretion, violates this provision, including reporting such conduct to law enforcement authorities.

Account Termination

The Company reserves the right, in its sole and absolute discretion, to suspend or terminate your account and access to the Platform at any time, for any reason or no reason, with or without notice, and without liability to you.

Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or abusive activity, or any conduct that the Company deems harmful to the Platform, other users, or third parties.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. You will not be entitled to any refund of any fees paid prior to termination. Provisions of these Terms that by their nature should survive termination shall survive, including sections on intellectual property, limitation of liability, indemnification, and dispute resolution.

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

The Company takes the privacy of its users seriously and implements reasonable technical and organizational measures to protect your personal information. However, no method of transmission over the internet is 100% secure, and the Company cannot guarantee absolute security of your data.

Modifications to Terms

The Company reserves the right to modify, amend, or replace these Terms at any time in its sole discretion. Changes will be effective immediately upon posting to the Platform, unless otherwise specified. The "Effective Date" at the top of this document will be updated to reflect the date of the most recent revision.

Your continued use of the Platform following the posting of revised Terms constitutes your binding acceptance of such changes. It is your responsibility to review these Terms periodically. If you disagree with any changes, your sole remedy is to discontinue use of the Platform.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Edney Enterprises LLC is formed, without regard to its conflict of law provisions.

For any matters not subject to arbitration under Section 07, you consent to the exclusive jurisdiction of the state and federal courts located in the Company's state of formation, and waive any objection to such jurisdiction or venue.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
